Agenda Item Summary:
The City has a lease agreement with the Museum Alliance of Rapid City to manage and operate the Journey Museum. The most recent lease was approved in 2012 and runs through 2032. There is also a separate Memorandum of Understanding with the Museum Alliance regarding the composition of its board. The MOU requires that five of the MARC Board’s directors be designated by the City. Four are appointed by the Mayor and confirmed by the City Council and the fifth is an alderman designated by Council leadership. Over the last year the Museum Alliance and the Black Hills Historical Society have been exploring a merger of the two organizations and have decided that proceeding with the merger is in both organization’s best interests. Representatives of the organization made a presentation regarding the merger to the City Council at its May 5th meeting. As part of the merger the two organizations would like to stream line the board and make sure that there is sufficient representation on the board by people from both entities. As part of the merger and streamlining of the board, the two organizations have requested the City agree to reduce the number of City representatives on the unified board. The proposal is for the City Council liaison to be the City’s sole representative on the Board. The liaison would be a full voting member of the joint Board. In addition to reducing the number of City designated board members, we are proposing to eliminate the MOU entirely and incorporate all of the parties’ understandings regarding the lease and operation of the Journey Museum into a single agreement.
